Terms of Service
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (the “User,” “you,”or “your”) and Trading-Tracker (“Trading-Tracker,” “we,” “us,” or “our”) governing your access to and use of our websites, applications, software, products, and related services (collectively, the “Service”).
By accessing or using the Service, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
1. Eligibility
You must be at least eighteen years of age and possess the legal capacity to enter into a binding agreement. You may use the Service only in compliance with applicable laws and regulations. The Service is not offered where its use would be prohibited by law, and we make no representation that it is appropriate or legally available in every jurisdiction.
2. Description of the Service
The Service provides tools that may permit Users to record, organize, review, visualize, and analyze trading-related information and other User-provided data. We may modify, update, suspend, restrict, or discontinue any part of the Service at any time. We do not guarantee that any feature, integration, data source, or functionality will remain available.
3. No Financial Advice
The Service is provided solely for informational, record-keeping, educational, and analytical purposes. Trading-Tracker is not a broker-dealer, investment adviser, financial institution, exchange, tax adviser, legal adviser, or fiduciary. Nothing provided through the Service constitutes investment, financial, legal, accounting, or tax advice.
You are solely responsible for all investment and trading decisions. Past performance, analytics, calculations, statistics, and historical data do not guarantee future results. Trading and investing involve substantial risk, including the possible loss of all invested capital.
4. User Accounts
You may be required to create an account and agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring through your account. You must promptly notify us of any suspected unauthorized access or security breach.
We may reject, suspend, restrict, or terminate an account where we reasonably believe these Terms have been violated or where necessary to protect the Service, our Users, or third parties.
5. User Content
“User Content” means information, records, files, images, notes, trading data, and other materials submitted to or created through the Service. You retain ownership of your User Content.
You grant Trading-Tracker a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, back up, and display User Content solely as reasonably necessary to provide, maintain, secure, and improve the Service. You represent that you possess all rights necessary to submit your User Content and remain responsible for its accuracy, legality, completeness, and reliability.
6. Information and Data Accuracy
Information and calculations displayed through the Service may be derived from User Content or third-party sources. We do not warrant that any information, market data, calculation, report, chart, classification, or analysis is accurate, complete, current, or error-free. The Service must not be relied upon as an official brokerage, accounting, regulatory, or tax record.
7. Acceptable Use
You shall not:
- Use the Service for unlawful, fraudulent, or abusive purposes;
- Gain or attempt to gain unauthorized access to any account or system;
- Circumvent security, access, or usage restrictions;
- Introduce malware or other harmful code;
- Interfere with the operation or integrity of the Service;
- Scrape, copy, resell, sublicense, or redistribute the Service or its data without authorization;
- Infringe any intellectual-property, privacy, or third-party right; or
- Use automated systems to access the Service without our prior written authorization.
8. Subscriptions and Payment
The Service may include free and paid subscription plans. Applicable features, fees, billing periods, and limitations will be disclosed at the time of purchase. Paid subscriptions may renew automatically unless cancelled before the applicable renewal date. You authorize us and our payment processors to charge applicable fees and taxes using your selected payment method.
Except where required by law or expressly stated otherwise, payments are non-refundable. Cancellation ordinarily takes effect at the end of the current paid billing period. We may modify subscription fees upon reasonable prior notice, with changes applying from a subsequent billing period.
9. Third-Party Services
The Service may contain or depend upon information, software, infrastructure, links, integrations, or services supplied by third parties. Trading-Tracker does not control and is not responsible for third-party services. Your use of such services may be governed by separate terms and privacy policies.
10. Intellectual Property
Except for User Content and third-party materials, all rights in the Service, including its software, design, branding, interfaces, documentation, and proprietary content, belong to Trading-Tracker or its licensors. No ownership rights are transferred to you, and all rights not expressly granted under these Terms are reserved.
11. Suspension and Termination
You may discontinue use of the Service at any time. We may suspend or terminate your access where reasonably necessary due to non-payment, unlawful activity, security concerns, material breach of these Terms, or risk of harm to Trading-Tracker, another User, or a third party.
Provisions that by their nature should survive termination shall remain effective, including provisions concerning ownership, disclaimers, limitations of liability, indemnification, and disputes.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. Trading-Tracker disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and quiet enjoyment.
13. Limitation of Liability
To the maximum extent permitted by law, Trading-Tracker shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including trading losses, lost profits, lost revenue, lost data, or business interruption.
Our total aggregate liability arising from or relating to the Service shall not exceed the greater of USD $100 or the amount paid by you to Trading-Tracker during the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Trading-Tracker and its officers, employees, contractors, and affiliates from claims, losses, liabilities, and expenses arising from your misuse of the Service, User Content, violation of these Terms, or infringement of third-party rights.
15. Changes to These Terms
We may amend these Terms periodically. Revised Terms will become effective when published or on a later date specified by us. Where required by law, we will provide additional notice or obtain renewed consent. Continued use following the effective date constitutes acceptance of the revised Terms.
16. Governing Law and Disputes
These Terms shall be governed by applicable law, without regard to conflict-of-law principles. Nothing in these Terms deprives you of any mandatory consumer protection afforded by the law of your residence. Any dispute shall be submitted to a court of competent jurisdiction.
17. General Provisions
These Terms and the Privacy Policy constitute the entire agreement concerning the Service. If any provision is held unenforceable, the remaining provisions shall continue in effect. Our failure to enforce a provision shall not constitute a waiver. You may not assign these Terms without our consent. We may assign them in connection with a corporate transaction or transfer of the Service.
